Terms and Conditions of Use
Welcome to Legal Synth. These Terms & Conditions (“Terms”) govern your use of the Legal Synth service (the “Service”), including any web, app, or API interfaces (collectively, “Platform”). By accessing or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
1. Scope & Disclaimers
1.1 No Attorney–Client Relationship / Informational Only. The Service provides legal
information, templates, research, and related output generated by AI. It is not a law firm, and
does not provide legal advice. You should consult a licensed attorney before acting on any
information or documents generated by the Service.
1.2 Accuracy / No Guarantee. The AI may produce incomplete, outdated, or incorrect
information. We disclaim any warranty that outputs are accurate, complete, or appropriate for
your specific circumstances.
1.3 Third-Party Dependence. We may rely on third-party AI providers (e.g. Gemini API, cloud
infrastructure). We are not responsible for errors, interruptions, or decisions of those providers
beyond what they themselves permit.
2. Eligibility & Account
2.1 You must be at least 18 years old and capable of entering into a binding contract.
2.2 You are responsible for keeping your login credentials secure. You will not permit unauthorized use of your account.
2.3 You must provide accurate information when registering, and promptly update it if it changes.
3. Use Restrictions / Prohibited Conduct
3.1 You will comply with all applicable laws, rules, and regulations.
3.2 You agree not to use the Service to:
• Violate rights (e.g. intellectual property, privacy)
• Create or distribute defamatory, harassing, obscene, or fraudulent content
• Attempt to reverse engineer or circumvent security or usage limitations
• Use the Service for mass unsolicited commercial messaging, spamming, or other abusive behavior.
3.3 We may suspend or terminate your access for conduct that violates these Terms.
4. Fees, Billing & Refunds
4.1 You may be required to pay subscription or usage fees. All payments are non-refundable except as required by law or as expressly stated in a refund policy.
4.2 If you don’t pay, we may suspend or terminate your access.
4.3 We may change fees or introduce new fees; we’ll give you advance notice.
5. Intellectual Property
5.1 You retain ownership of input content you upload.
5.2 We do not claim ownership of your input or the output generated for you.
5.3 We grant you a limited, non-exclusive license to use outputs for your personal or business use, subject to these Terms
6. Limitation of Liability
CAP ON DAMAGES. To the fullest extent permitted by applicable law, our aggregate liability to you for any and all claims (in contract, tort, or otherwise) arising from or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim (or [some other period you choose]).
We are not liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost data, or business interruption.
In no event shall we be liable for claims beyond that cap, even if we have been advised of the possibility of the harm
7. Indemnification
You agree to indemnify, defend, and hold harmless Legal Synth, its officers, directors, employees, agents, and affiliates from any claims, damages, liabilities, losses, costs (including reasonable attorneys’ fees) arising from your use of the Service or your violation of these Terms.
8. Termination
We may terminate or suspend your access at any time for cause (including violation of the Terms), with or without notice. On termination, your license to use the Service ends, and you must cease use. Sections concerning intellectual property, limitation of liability, indemnification, and dispute resolution survive.
9. Dispute Resolution; Arbitration; Class Action Waiver
9.1 Governing Law & Venue. These Terms are governed by the laws of the State of Utah, without regard to conflict of laws rules.
9.2 Binding Arbitration. Except for small claims matters, you and Legal Synth agree to resolve disputes through binding arbitration administered under the rules of [American Arbitration Association / JAMS / other] in [Salt Lake City, Utah (or as you choose)].
9.3 Waiver of Jury Trial & Class Action / Representative Claims. To the fullest extent permitted by law, you and Legal Synth waive any right to a trial by jury, and any right to participate in a class action, class arbitration, or consolidated arbitration. Each dispute will be resolved in your individual capacity only.
9.4 Opt-Out. You may opt out of arbitration and the class action waiver by sending us a written notice within 30 days after first agreeing to these Terms, using the contact details in Section 10. Opting out does not change other provisions.
9.5 Exceptions. These arbitration obligations do not apply to (i) intellectual property claims (e.g. copyright/trademark), (ii) claims for injunctive or equitable relief, or (iii) matters you cannot by law require to be arbitrated.
10. Notices
All legal notices must be sent via email or postal mail to the addresses listed on our website or registration materials. Notice to you may be given via email or posting on the Platform.
11. Changes to Terms
We may revise these Terms from time to time. We will notify you of material changes (e.g., via email). If you don’t agree, you must discontinue use.
12. Miscellaneous
If any provision is found invalid or unenforceable, that provision will be limited or severed, and the rest of the Terms remain in effect. These Terms constitute the complete agreement regarding the Service.
